Legal terms and conditions governing the use of ByteHint's MVP development services

1. Acceptance of Terms
By accessing and using ByteHint's website, services, or engaging with us for MVP development services, you ("Client," "Customer," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you and ByteHint ("we," "us," or "our"). By proceeding with any service engagement, you acknowledge that you have read, understood, and agree to comply with these Terms.
2. Services Description
2.1 MVP Development Services
ByteHint provides Minimum Viable Product (MVP) development services including but not limited to:
- • Product strategy and planning
- • UI/UX design and prototyping
- • Full-stack web application development
- • Database design and implementation
- • API development and integration
- • Quality assurance and testing
- • Deployment and hosting setup
- • Post-launch support and maintenance
2.2 Service Commitment
- • We commit to delivering your MVP within 3 weeks from project start date
- • All deliverables will be production-ready and fully functional
- • Source code and documentation will be provided upon completion
- • 30 days of post-launch support is included
3. Payment Terms
3.1 Payment Structure
- • Payment terms will be agreed upon before project commencement
- • All payments must be made in USD unless otherwise agreed
- • Payments are processed through secure third-party payment processors
- • Final payment is due upon project completion and delivery
3.2 Payment Methods
- • Credit/Debit Cards (Visa, MasterCard, American Express)
- • Bank transfers (for enterprise clients)
- • Digital payment platforms (PayPal, Stripe)
- • Cryptocurrency (Bitcoin, Ethereum) upon request
3.3 Late Payment Policy
- • Payments are due according to the agreed timeline
- • Late payments may incur a 2% monthly service charge
- • Work may be suspended for payments overdue by more than 14 days
- • We reserve the right to withhold deliverables until payment is received
4. Client Responsibilities
4.1 Information and Materials
- • Provide clear project requirements and specifications
- • Supply all necessary content, images, and materials
- • Respond to requests for feedback within 2 business days
- • Ensure all provided materials are legally owned or licensed
4.2 Communication and Availability
- • Participate in scheduled meetings and check-ins
- • Designate a primary point of contact for the project
- • Provide timely decisions on design and functionality choices
- • Notify us immediately of any changes in project scope
5. Intellectual Property Rights
5.1 Client Ownership
Upon full payment of all fees, you will own:
- • The completed MVP application and its source code
- • All custom-developed features and functionality
- • Database schemas and content specific to your project
- • Documentation and deployment instructions
5.2 ByteHint Retained Rights
- • General methodologies, processes, and know-how
- • Pre-existing intellectual property and tools
- • Third-party libraries and open-source components
- • Right to use project as a case study (with your permission)
5.3 Third-Party Components
Our MVPs may incorporate third-party libraries, frameworks, and services. These remain subject to their respective licenses and terms of use. We ensure all third-party components are properly licensed for commercial use.
6. Confidentiality and Non-Disclosure
6.1 Confidential Information
We understand that you may share sensitive business information with us. We commit to:
- • Keep all project details and business information confidential
- • Not disclose your ideas, strategies, or proprietary information
- • Use information solely for the purpose of delivering your MVP
- • Maintain confidentiality for a period of 5 years after project completion
6.2 Exceptions to Confidentiality
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Warranties and Disclaimers
7.1 Service Warranties
- • We warrant that services will be performed with professional skill and care
- • All deliverables will be free from material defects for 30 days post-delivery
- • We will fix bugs and issues at no additional cost during the warranty period
- • Code will be well-structured, documented, and follow industry best practices
7.2 Disclaimers
EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- • GUARANTEES OF UNINTERRUPTED OR ERROR-FREE OPERATION
- • WARRANTIES REGARDING THIRD-PARTY SERVICES OR INTEGRATIONS
- • GUARANTEES OF SPECIFIC BUSINESS OUTCOMES OR RESULTS
8. Limitation of Liability
8.1 Liability Cap
Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.
8.2 Excluded Damages
IN NO EVENT SHALL WE BE LIABLE FOR:
- • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- • LOSS OF DATA OR INFORMATION
- • BUSINESS INTERRUPTION OR LOSS OF USE
9. Project Scope and Change Management
9.1 Scope Definition
- • Project scope will be clearly defined before work begins
- • All features and requirements will be documented and agreed upon
- • Technical specifications will be provided for your review
- • Timeline and milestones will be established
9.2 Scope Changes
- • Minor adjustments within the original scope are included
- • Significant changes may require additional time and cost
- • All scope changes must be approved in writing
- • Timeline adjustments will be communicated for major changes
10. Termination
10.1 Termination by Client
- • You may terminate the project with 7 days written notice
- • Payment is due for all work completed up to termination date
- • Refunds will be handled according to our Refund Policy
- • You will receive all work completed up to the termination date
10.2 Termination by ByteHint
- • We may terminate for non-payment after 14 days notice
- • We may terminate for breach of these Terms
- • We may terminate if project requirements become illegal or unethical
- • Reasonable notice will be provided when possible
11. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond the reasonable control of such party. In such events, we will make reasonable efforts to minimize delays and communicate with you about alternative arrangements.
12. Dispute Resolution
12.1 Informal Resolution
Before pursuing formal dispute resolution, both parties agree to attempt to resolve any disputes through direct communication and good faith negotiation.
12.2 Mediation and Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in English and governed by the laws of Delaware, United States.
13. Privacy Policy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ByteHint regarding the use of our services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
17. Updates to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
